The SGHA Board is sharing the revised draft Constitution for member review.
This draft has been updated following the feedback received through the Annual Members Meeting. The purpose of the revised Constitution is to make SGHA’s governance structure clearer, more consistent, and easier to apply going forward.
Members are asked to review the draft and provide any questions, comments, suggested corrections, or clarification requests through the feedback form linked below.

Notice of Special Members’ Meeting
The Board is calling a Special Members’ Meeting for the purpose of considering and voting on the proposed revised SGHA Constitution.
Date: Tuesday, August 4, 2026
Time: 7:00 PM
Location: Amberwood Golf and Country Club
Purpose: To consider and vote on the proposed revised SGHA Constitution.
Only the business stated in the notice of Special Members’ Meeting will be conducted at that meeting.
Summary of Proposed Changes
The proposed revised Constitution includes updates and clarification in the following areas:
- Federal incorporation alignment: Updates terminology and governance provisions to better align SGHA’s internal governing document with its federal not-for-profit incorporation.
- Governance structure: Clarifies the distinction between the elected Board of Directors, Board-appointed Executive Members, the Executive Committee, and operational roles.
- Officer, Director, and Executive Member roles: Updates role descriptions, responsibilities, appointment processes, and reporting expectations.
- Election and appointment process: Clarifies elected positions, Board-appointed roles, staggered terms, nomination requirements, eligibility provisions, and vacancy procedures.
- Voting rights and membership: Clarifies membership categories, voting rights, good standing requirements, and voting limits so that voting can be administered more clearly.
- Quorum and meeting procedures: Updates quorum, notice, voting, rules of order, electronic participation, and procedures for Members’ Meetings, Board meetings, and Executive Committee meetings.
- Conflict of interest and recusal: Adds clearer expectations for disclosure, recusal, confidentiality, and participation in matters involving actual, potential, or perceived conflicts of interest.
- Vacancies, removal, and succession: Clarifies how vacancies are filled, how roles may be removed or suspended, and how succession is handled if the President role becomes vacant.
- Financial management: Updates provisions related to financial year, banking, borrowing, signing authority, financial statements, and financial oversight.
- Committees and operational roles: Clarifies how committees may be established, their authority, and how operational support roles are assigned or adjusted by the Board.
- Privacy, records, and confidentiality: Adds stronger language regarding confidential information, Association records, member information, complaints, discipline, evaluations, and continuing confidentiality obligations.
- Branding and logo use: Adds language to protect SGHA’s name, logos, colours, and related branding from unauthorized use.
- Amendment process: Clarifies how future amendments to the Constitution may be proposed, circulated, and approved by the Members.
Proposed Revised Constitution
A motion will be brought forward at the Special Members’ Meeting to adopt the revised SGHA Constitution.
Members are encouraged to review the proposed revised Constitution, submit feedback through the form, and attend the virtual information session if they have questions before the Special Members’ Meeting.
